Information on Founder's Transfer of Holdings to Trust (GRAT)

A portion of Austin Kingsley Russell’s holdings was transferred to two Grantor Retained Annuity Trusts (GRATs), the “AKR Luminar Holdings Family Trust GRAT A” and the "AKR Luminar Holdings Family Trust GRAT B" prior to year-end.

About GRATs: GRATs are common financial instruments generally used to optimize tax related strategies. Following the transfer of assets to the GRAT, appreciation that occurs beyond a market-rate interest return is tax-free to its beneficiaries.

A transfer to a GRAT does not constitute an acquisition or sale of the underlying assets. In this case, the beneficiaries remain in Russell’s family.
